Condiciones del servicio

Estas condiciones regulan el servicio de plataforma que ILUSTRICIA SL presta a sus clientes empresariales sobre WhatsApp Business Platform. No regulan el uso de la web, que se rige por el Aviso Legal.

2. Objeto

Servicios de mensajería, automatización y asistentes sobre WhatsApp Business Platform (Cloud API), incluida la coexistencia con la aplicación WhatsApp Business.

3. Alta y cuenta

• El cliente conecta su propia cuenta de WhatsApp Business (WABA) mediante el flujo de alta integrado (Embedded Signup) de Meta.
• El cliente es y sigue siendo propietario de sus activos de Meta (cuenta de WhatsApp Business, números de teléfono y portfolio empresarial) y mantiene acceso completo a ellos.

4. Obligaciones del cliente

• Cumplir la Política de WhatsApp Business y la Política de Comercio de WhatsApp.
• Obtener el consentimiento previo (opt-in) de los usuarios antes de contactarlos y atender las solicitudes de baja.
• Responsabilizarse del contenido enviado y de las plantillas que apruebe.
• No usar el servicio para comunicaciones comerciales sin una base jurídica válida.

5. Facturación de Meta

• Los mensajes enviados a través de WhatsApp Business Platform los factura Meta directamente al cliente, según las tarifas vigentes de Meta.
• El cliente debe mantener un método de pago válido en su cuenta.
• IlustricIA factura por separado sus servicios de implantación, soporte y licencia de software, según lo acordado con cada cliente.

6. Disponibilidad

El servicio depende de la infraestructura de Meta. IlustricIA no responde de interrupciones, cambios de política o restricciones impuestas por Meta.

7. Protección de datos

El tratamiento de datos personales se describe en la Política de privacidad de los servicios de WhatsApp Business Platform. La relación se rige además por un contrato de encargo del tratamiento firmado entre las partes.

8. Propiedad intelectual

• El software, los paneles y los desarrollos de IlustricIA son titularidad de ILUSTRICIA SL o de sus licenciantes.
• Se concede al cliente una licencia de uso no exclusiva e intransferible, limitada a la duración del servicio y a su propia actividad.
• Los datos y contenidos del cliente siguen siendo del cliente.

9. Limitación de responsabilidad

En la medida permitida por la ley, IlustricIA no responde de daños indirectos ni de lucro cesante, ni de los daños derivados del incumplimiento por el cliente de las políticas de Meta o de la normativa aplicable. Nada de lo anterior limita la responsabilidad que no pueda limitarse legalmente, como la derivada de dolo o negligencia grave.

10. Duración, suspensión y resolución

• El servicio dura el periodo acordado con cada cliente.
• IlustricIA puede suspender el servicio si el cliente incumple estas condiciones o las políticas de Meta, o si Meta restringe la cuenta.
• Cualquiera de las partes puede resolver la relación según lo acordado en el contrato particular.
• Al terminar, los datos se devuelven al cliente o se suprimen en un plazo máximo de 60 días, salvo obligación legal de conservación, en cuyo caso quedan bloqueados.

11. Modificaciones

IlustricIA puede actualizar estas condiciones. La fecha de “Última actualización” indica la versión vigente y los cambios relevantes se comunicarán a los clientes. Cuando exista un contrato particular firmado, este prevalece sobre estas condiciones generales.

12. Ley aplicable y fuero

Estas condiciones se rigen por la legislación española. Para la resolución de cualquier controversia, las partes se someten a los Juzgados y Tribunales de Elche, salvo que la ley disponga otra cosa.

These terms govern the platform service that ILUSTRICIA SL provides to its business clients over the WhatsApp Business Platform. They do not govern the use of the website, which is covered by the Legal Notice.

2. Purpose

Messaging, automation and assistant services over the WhatsApp Business Platform (Cloud API), including coexistence with the WhatsApp Business app.

3. Onboarding and account

• The client connects its own WhatsApp Business Account (WABA) through Meta's Embedded Signup flow.
• The client is and remains the owner of its Meta assets (WhatsApp Business Account, phone numbers and business portfolio) and keeps full access to them.

4. Client obligations

• Comply with the WhatsApp Business Policy and the WhatsApp Commerce Policy.
• Obtain users' prior consent (opt-in) before contacting them, and handle opt-out requests.
• Take responsibility for the content sent and for the templates it approves.
• Not use the service for commercial communications without a valid legal basis.

5. Meta billing

• Messages sent through the WhatsApp Business Platform are billed by Meta directly to the client, according to Meta's current rates.
• The client must keep a valid payment method on its account.
• IlustricIA separately invoices its implementation, support and software licence services, as agreed with each client.

6. Availability

The service depends on Meta's infrastructure. IlustricIA is not liable for outages, policy changes or restrictions imposed by Meta.

7. Data protection

The processing of personal data is described in the Privacy Policy for WhatsApp Business Platform services. The relationship is also governed by a data processing agreement signed between the parties.

8. Intellectual property

• IlustricIA's software, panels and developments are owned by ILUSTRICIA SL or its licensors.
• The client is granted a non-exclusive, non-transferable licence to use them, limited to the term of the service and to its own business.
• The client's data and content remain the client's.

9. Limitation of liability

To the extent permitted by law, IlustricIA is not liable for indirect damages or loss of profits, nor for damages arising from the client's breach of Meta's policies or applicable law. Nothing in these terms limits liability that cannot be limited by law, such as liability for wilful misconduct or gross negligence.

10. Term, suspension and termination

• The service lasts for the period agreed with each client.
• IlustricIA may suspend the service if the client breaches these terms or Meta's policies, or if Meta restricts the account.
• Either party may terminate the relationship as agreed in the particular contract.
• On termination, the data are returned to the client or deleted within a maximum of 60 days, unless a legal obligation requires keeping them, in which case they remain blocked.

11. Changes

IlustricIA may update these terms. The “Last updated” date indicates the version in force, and relevant changes will be communicated to clients. Where a signed particular contract exists, it prevails over these general terms.

12. Governing law and jurisdiction

These terms are governed by Spanish law. For the resolution of any dispute, the parties submit to the Courts and Tribunals of Elche, unless the law provides otherwise.
